The B of D has established professional committees by specific field for the effective and professional operation of the B of D, and has delegated partial authority to these committees

The Nominating Committee for Outside Directors has been organized to recommend candidates of outside directors under relevant Law.

Organization

  • The Nominating Committee for Outside Directors must be comprised of two or more directors, and more than half from outside directors by regulation.
  • Currently, the committee is comprised of two (2) outside directors and one (1) inside director.

Appointment and term of members

  • The Committee members are appointed by resolution of the B of D, and the term is the same as the director's.
  • The chair is appointed by resolution of the Committee, and currently outside director Cho Hye-Kyung is in charge.

Operation

  • Committee for Recommending Candidates for Outside Directors can be held as often as needed.

Rights

  • The Committee may recommend candidates, who shall be appointed at the AGM, six (6) weeks before the Meeting.
  • The Committee examines his/her ability, the reasons for appointment of director, and the qualification of independence conditions required by Law.
